At the Annual Shareholders' Meeting (photo), business results and prospects for the company are presented and discussed. Effective and responsible corporate governance and supervision are a top priority for Axel Springer. The company adheres to the recommendations of the German Corporate Governance Code as amended on June 18, 2009 (published in the official part of the Federal Bulletin (Elektronischer Bundesanzeiger) on August 5, 2009), except for three deviations (see Declaration of Conformity of Axel Springer AG as of December 2009). The Management Board and Supervisory Board report on corporate governance at Axel Springer as follows:
Management Board and Supervisory Board have taken appropriate measures to implement and ensure compliance with the principles of corporate governance. The Corporate Governance Officer is the Chief Financial Officer. His deputy is the Head of Corporate Law. The implementation of and compliance with the recommendations of the German Corporate Governance Code are evaluated on a regular basis. The Chairmen of the Management Board and the Supervisory Board are informed about the results of this evaluation respectively.
