Fully digital – New portfolio set up for Ringier Axel Springer in Slovakia

  • Investment: Ringier Axel Springer Media AG has agreed to acquire Autobazar.eu, the leading car classifieds portal, and TopReality.sk, one of the leading real estate classifieds portals, in Slovakia as well as the domain and trademark of Aktualne.sk.
  • Development: The newly acquired domain Aktualne.sk will be redirected to Ringier Axel Springer Slovakia´s news portal Aktuality.sk. In addition, to offer best-in-class online news service the digital editorial team of Aktuality.sk is going to be increased.
  • Divestment: Ringier Axel Springer Media is proceeding on its strategy of building a future oriented leading digital organization in Slovakia. The focus lies on adding classifieds portals with strong strategic fit to the existing portfolio along with high-quality digital journalism. In order to meet these objectives Ringier Axel Springer Media AG is going to sell its Slovakian print newspaper and magazine portfolio.

Ringier Axel Springer Media AG has agreed to acquire the leading Slovakian car classifieds portal, Autobazar.eu, and one of the leading real estate portals, TopReality.sk, from their founders Michal Obeda and Marek Grajcarik through its classified holding in Slovakia, United Classifieds s.r.o..

Autobazar.eu is the biggest car classified in Slovakia with 93.000 visitors on a daily basis. TopReality.sk is one of most visited real estate marketplaces with 35.000 visitors per day and currently over 250.000 listings displayed. The United Classified portfolio includes the general classifieds portal Bazar.sk, the real estate classifieds portals Nehnuteľnosti.sk, Reality.sk, Novostavby.sk, Byty.sk, Chaty.sk and Viareal.sk, as well as automotive advertising portals Autobazar.sk, Autovia.sk, Noveauta.sk, Autozor.sk and ABmanager.sk. The two new entities Topreality.sk s.r.o. and Autobazar.eu s.r.o. will further enhance the portfolio of Ringier Axel Springer in Slovakia. It is expected to execute the classifieds acquisitions in the fourth quarter of 2017.

To further develop its position as the leading digital publisher in Slovakia, Ringier Axel Springer Media AG has also agreed to acquire the domain and trademark of Aktualne.sk from News and Media Holding a.s.. This domain will be redirected to the news portal Aktuality.sk which is already part of the online portfolio of Ringier Axel Springer in Slovakia. This acquisition is expected to be executed by mid-2018. To offer best-in-class online news service the digital editorial team of Aktuality.sk is going to be increased.

In addition to the acquisiton of the new online assets, Ringier Axel Springer Media AG agreed on 6th of November 2017 to sell its leading print newspaper portfolio in Slovakia to FPD Media s.r.o and its print magazine portfolio to News and Media Holding a.s.. No job cuts or closures of editorial offices were envisaged in the context of the disposals.

The sale and purchase agreement (SPA) for the print newspaper portfolio includes the number one daily Nový Čas and the weekly Nový Čas Nedeľa as well as their online extensions. The SPA for the print magazine portfolio includes the weekly magazines Nový Čas pre Ženy, Život and the monthly magazines Nový Čas Krížovky, Nový Čas Bývanie, EVA, Madam EVA, GEO and AUTO BILD together with all their online extensions. The sales transaction for the print newspaper portfolio is subject to merger control approval by the competent authorities. Closing of both sales transactions is expected by mid-2018.

In the future, the strong digital media portfolio of Ringier Axel Springer in Slovakia will be based on three pillars:

  1. Digital Publishing consisting of the news platform Aktuality.sk, the sport and lifestyle portals for men Šport.sk and Živé.sk, the portals for women Diva.sk, Najmama.sk and Dobruchut.sk, the portal Azet.sk as well as the millennial site Noizz.sk.
  2. Digital Classifieds, comprising of the general portal Bazar.sk, the real estate classifieds TopReality.sk, Nehnuteľnosti.sk, Reality.sk, Novostavby.sk, Byty.sk, Chaty.sk and Viareal.sk as well as automotive advertising portals Autobazar.eu, Autobazar.sk, Autovia.sk, Noveauta.sk, Autozor.sk and ABmanager.sk. United Classifieds s.r.o bundles the whole classifieds business of Ringier Axel Springer Media AG in Slovakia.
  3. Digital Businesses such as the online community portal Pokec and the online food delivery service Bistro.sk.
